White-Label Portal Master Services & Licensing Agreement
1. Acceptance of Terms & Scope of Service
By subscribing to, accessing, or utilizing any curriculum architecture, prompt repositories, AI strategy vaults, or digital assets hosted within the Webcognita Client Portal (the “Portal”), You (“Subscriber”, “Client”, or “You”) agree to be legally bound by this Master Services & Licensing Agreement (“Agreement”).
Webcognita provides B2B software-as-a-service (SaaS) content, white-label educational frameworks, and Generative AI prompt engineering architectures designed under the leadership of Alan Pruitt (Google Gemini Certified Faculty).
2. Subscription Tiers & Billing Architecture
Access to the Portal is billed on a recurring basis via our digital payment infrastructure (Stripe Billing / Wise Business).

- Billing Currency & Conversion: All primary subscriptions are denominated in United States Dollars ($ USD). Cross-border billing processed in Mexican Pesos ($ MXN) via Stripe Adaptive Pricing will be converted at standard mid-market exchange rates.
- Auto-Renewal & Cancellation: Subscriptions automatically renew at the end of each billing cycle unless cancelled through the Stripe Customer Portal prior to the renewal date.
- Refund Policy: Due to the immediate digital delivery of proprietary prompt vaults and source repositories, subscription payments are non-refundable once portal authentication tokens are issued.
3. White-Label Intellectual Property & Sublicensing Rights
3.1 Single Source of Truth (SSoT) Alignment
All clinical, kinesiology, and exercise science frameworks provided within the Portal strictly adhere to the U.S. Physical Activity Guidelines for Americans (PAGA 2018, 2nd Ed.) and ACSM 12th Edition guidelines as the exclusive Single Source of Truth (SSoT).
3.2 Enterprise White-Label License (Tier 2 Subscribers Only)
Subscribers enrolled in the Clinic / Enterprise Tier ($149/mo) are granted a non-exclusive, worldwide, royalty-free sublicensing right under Creative Commons Attribution 4.0 International (CC BY 4.0) principles to:
- Re-brand, modify, edit, and translate Webcognita curriculum frameworks, clinical SOP templates, and AI prompt kits.
- Incorporate customized assets into internal clinical operations or distribute them directly to end-patient clients under the Subscriber's proprietary business identity.
3.3 Practitioner Restrictions (Tier 1 Subscribers)
Subscribers enrolled in the Practitioner Tier ($39/mo) are granted a personal, single-seat operational license for internal clinical and educational workflows. Sublicensing, re-selling, or external distribution of un-modified Webcognita repositories is strictly prohibited under Tier 1.
4. Technical Mandates & Safety Protocols
4.1 Wrapped Input Delimiter Protocol
To prevent prompt injection, context contamination, and AI model hallucinations, Subscribers agree that all AI-driven tools or clinical simulation workflows built using Webcognita prompt templates MUST explicitly enforce the Triple-Hash Delimiter Protocol.
All client profiles, case data, or medical inputs provided to AI model engines MUST be wrapped as follows:

4.2 WCAG 2.1 AA & Accessibility Compliance
Webcognita architectures are engineered to pass Web Content Accessibility Guidelines (WCAG) 2.1 AA contrast standards (minimum 4.5:1 ratio). Subscribers modifying semantic HTML/CSS layouts agree to preserve strict heading hierarchies (<h2>, <h3>, <h4>) and high-contrast palettes for mobile and screen-reader compatibility.
5. Jurisdiction & Corporate Integrity
- U.S. Corporate Structure: Webcognita LLC is a registered United States corporate entity (EIN: 81-0809739) organized under the laws of the State of Arizona. All commercial transactions, subscription agreements, and merchant processing activities are executed strictly within United States commercial jurisdiction.
- Cross-Border Regulatory Compliance: This Agreement is governed by the laws of the State of Arizona. Transactions executed digitally across international borders do not constitute localized physical business activity outside of the United States.

Subscribers, health practice leaders, and clinicians maintain 100% sole liability for verifying clinical accuracy, auditing AI-generated outputs, and executing exercise prescriptions with their respective patients.
